Terms of Service

These Terms of Service ("Terms") govern your use of the service at failover.io (the "Service"), operated by Sonato LLC, a Wyoming limited liability company ("Sonato," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

failover.io provides uptime monitoring, cascading alert delivery, status pages, and cron heartbeat monitoring. Features and limits vary by plan. We may modify, add, or remove features at any time.


2. Account

2.1 Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.2 Registration

You provide an email address and password. You are responsible for keeping your credentials secure and for all activity that occurs under your account.

2.3 Accurate information

You agree to provide accurate and complete information, and to keep it up to date.

4. Abuse of service

The Service exists to help you monitor systems you operate. The following uses are strictly prohibited and may result in immediate suspension or termination without refund:

4.1 Monitoring without authorization

You may only configure monitors against URLs, hosts, and endpoints that you own or have explicit written authorization to monitor. Configuring monitors against third-party services, competitor websites, public APIs, or any infrastructure for which you lack authorization is prohibited, regardless of polling frequency.

4.2 Aggressive or harmful polling

You may not configure monitors in a way that causes harm to the target system, including but not limited to: setting unnecessarily aggressive polling intervals, monitoring expensive endpoints in a manner that imposes meaningful infrastructure cost on the target, or coordinating multiple monitors to amplify load.

4.3 Misuse of heartbeat or webhook URLs

Heartbeat endpoints and webhook configurations may not be used as covert command-and-control channels, exfiltration vectors, traffic relays, or any purpose unrelated to legitimate uptime monitoring and alerting.

4.4 Alert spam and harassment

You may not configure alert recipients (email, SMS, voice, webhook, or otherwise) without their consent. You may not use the Service to send alerts to phone numbers or email addresses you do not own or have permission to contact. You may not configure on-call schedules or alert chains designed to harass, threaten, or otherwise harm any individual.

4.5 Status page misuse

Public status pages may not be used to publish content unrelated to the operational status of systems you operate, including marketing content unrelated to system status, harassment, defamation, or impersonation of another organization.

4.6 Resource abuse

You may not create accounts solely to evade plan limits, distribute monitoring across multiple free-tier accounts to circumvent paid-plan thresholds, or use automated tooling to repeatedly create and delete monitors in a manner that exceeds reasonable use.

4.7 Reporting abuse

If you believe another user is abusing the Service in violation of these Terms, please contact . We investigate all reports and may take action including suspension or termination of offending accounts.


5. Plans and billing

5.1 Free and paid plans

The Service offers a free plan with limited functionality and paid plans with expanded features. Plan details are listed at failover.io/#pricing.

5.2 Permitted use of the Free Plan

The failover.io Free Plan may be used for both personal and commercial purposes. This includes monitoring personal websites and projects as well as business, institutional, or revenue-generating services. There is no commercial-use restriction on the Free Plan. All use of the Free Plan remains subject to Section 3 (Acceptable use) and Section 4 (Abuse of service).

5.3 Subscriptions

Paid plans are billed monthly or yearly in advance via Stripe. Subscriptions auto-renew until cancelled. Prices are in USD and exclude applicable taxes.

5.4 Refunds

We do not provide refunds for partial billing periods. You may cancel at any time; your subscription remains active until the end of the current billing period.

5.5 Failed payments

If a payment fails, Stripe will retry up to 8 times over 1 week. If all retries fail, your subscription will be cancelled and your account downgraded to the free plan. Data may be subject to retention limits of the free plan.

5.6 Price changes

We may change prices with at least 30 days' notice. Changes apply to your next billing period.


6. Service availability

We target 99.9% uptime for the Service but make no guarantees. The Service is provided "as is." Scheduled maintenance will be announced in advance when possible.

Our 99.9% uptime target applies to the availability of the failover.io platform itself — our monitoring, scheduling, and alert dispatching services. It does not apply to last-mile delivery of SMS or voice messages, email, or webhooks by third-party providers (see Section 7).


7. Alert delivery

7.1 Best-effort delivery

While we operate redundant alert delivery infrastructure, we cannot guarantee that every alert will reach its intended recipient. Alert delivery depends on third-party services (Twilio for SMS and voice, your email provider, Slack, Discord, Telegram, Microsoft Teams, PagerDuty, ntfy, your webhook endpoints, etc.) that are outside our control.

7.2 Customer responsibility

You are responsible for configuring multiple alert channels for redundancy and for periodically testing that alerts reach you. We strongly recommend that every alert chain include at least one channel that does not depend on third-party carriers (such as email or webhook). We are not liable for missed alerts or downstream consequences of undelivered alerts.

7.3 Sanctioned and embargoed jurisdictions

We do not provide SMS or voice services to recipients in jurisdictions subject to comprehensive U.S. economic sanctions, including:

You may not configure SMS or voice alert recipients in these jurisdictions. Email and webhook alerts are not subject to this restriction.

7.4 Restricted-delivery jurisdictions

SMS delivery is currently unavailable, limited, or unreliable in jurisdictions where local regulations require pre-registered sender identities, operator-specific licensing, or where alphanumeric sender IDs are not supported by local carriers. As of the date of these Terms, this includes (but is not limited to):

Argentina, Armenia, Bahamas, Belgium, Brazil, Cayman Islands, Chad, Chile, China, Colombia, Costa Rica, Czech Republic, Dominican Republic, Ecuador, Egypt, El Salvador, French Guiana, Guam, Guatemala, Hungary, India, Indonesia, Jordan, Kazakhstan, Kenya, Kuwait, Kyrgyzstan, Malawi, Malaysia, Mexico, Monaco, Morocco, Nauru, Nepal, New Zealand, Nicaragua, Oman, Palestine, Panama, Peru, Philippines, Puerto Rico, Qatar, Russia, South Africa, South Korea, Sri Lanka, Taiwan, Tanzania, Thailand, Turkey, United Arab Emirates, Uruguay, Venezuela, Vietnam, Yemen.

We may add or remove jurisdictions from this list at any time, without notice, based on changes to carrier rules, telecom regulations, or provider availability. SMS delivery in jurisdictions outside North America and Western Europe may be subject to delays, message rewrites, silent filtering, or rejection by local carriers.

7.5 Always-available channels

Email and webhook alerts are available to all customers worldwide. Customers in restricted jurisdictions should configure email or webhook channels as their primary alerting method, with SMS or voice as optional escalation steps in their alert chain where supported.


8. Your data

You retain ownership of all data you submit to the Service (monitor configurations, alert channel details, status page content). You grant us a limited license to use this data solely to operate the Service.

9. Intellectual property

The Service, including all software, designs, logos, and documentation, is owned by Sonato LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.


10. Termination

You may cancel your account at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or other users.

Accounts terminated for violations of Section 4 (Abuse of service) are not eligible for refunds of pre-paid amounts.

Upon termination, your right to use the Service ends immediately. We may delete your data after a reasonable retention period, subject to legal retention obligations.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. WE DO NOT WARRANT THAT ALERTS WILL BE DELIVERED IN A TIMELY MANNER OR AT ALL.


12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONATO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO MISSED OR DELAYED ALERTS.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER.


13. Indemnification

You agree to indemnify and hold harmless Sonato LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, your monitoring of systems without authorization, or your violation of any third-party rights.


14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.


15. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Wyoming.
